ACS BUSINESS OPERATIONS DIAGNOSTIC

Terms of Use

Effective date: November 1, 2026 · Last updated: November 1, 2026

These Terms of Use (“Terms”) govern your use of the ACS Business Operations Diagnostic (the “Diagnostic”), provided by Affiliated Corporate Services, LLC (“ACS,” “we,” “us”). Please read them together with our Privacy Policy, which explains how we handle information.

The short version

1. Acceptance of these Terms

By creating an account, starting an assessment, retrieving a report or otherwise using the Diagnostic, you agree to these Terms. If you do not agree, do not use the Diagnostic. If you use it on behalf of an organization, you confirm that you have authority to bind that organization, and “you” includes the organization.

2. Who may use the Diagnostic

The Diagnostic is intended for business owners, managers and their authorized team members who are at least 18 years old. You must provide accurate information when you register and keep your sign-in credentials confidential. You are responsible for activity under your account. Tell us promptly at info@acsllc-nc.com if you believe your account has been used without permission.

3. What the Diagnostic is, and what it is not

4. Complimentary use and paid services

The Diagnostic and the two-page snapshot are provided free of charge. ACS also offers an initial interview-led assessment of up to 30 minutes at no charge. Any further assessment, consulting, SOP, training, quality-control or custom software work is a separate engagement. It begins only after you and ACS agree in writing on scope and fees. Using the automated Diagnostic does not establish a paid consulting engagement or fiduciary relationship, and does not obligate you to purchase services. The complimentary interview is limited to its stated scope.

5. Your responsibilities and acceptable use

You agree not to:

If you believe you have found a security problem, please report it to info@acsllc-nc.com instead of testing it further.

6. Your information and our use of it

You keep ownership of the answers and organization information you submit. You give ACS a limited, non-exclusive license to host, process, score and display that information as needed to operate the Diagnostic and deliver your report. Sharing your report with ACS for review or follow-up is optional and separate; we use a shared report as described in the Privacy Policy. We use technical and service-level records to operate and maintain the Diagnostic as described in the Privacy Policy.

Organization owners, administrators and managers can see assessments and reports in their organization according to role. If you join an organization’s workspace, the organization’s administrators control that access.

7. Availability, retention and your copy of the report

Unfinished assessments are available for seven days after your most recent saved answer. Completed assessments and reports are available for 30 days after completion. Secure download links expire within five minutes, and you may request a fresh link while the report is available. After access expires, eligible content is removed through scheduled cleanup and may not be recoverable. Authorized holds, legal requirements and cleanup retries may delay physical deletion. Account, consent, security and deletion-safety records are handled separately as described in the Privacy Policy. You are responsible for downloading or printing your report before it expires.

We aim to keep the Diagnostic available but do not promise uninterrupted or error-free service. We may change, suspend or discontinue parts of the service. Where practicable, we will provide advance notice of changes affecting access to available reports. Urgent security, legal or service-integrity issues may require immediate action.

8. Intellectual property

The Diagnostic, including its questions, scoring method, report format, text, graphics, logo and software, belongs to ACS or its licensors and is protected by intellectual-property laws. “ACS” and the ACS logo are our marks. We grant you a limited, revocable, non-transferable license to use the Diagnostic for your own internal business purposes. You may keep, print and share your own report within your organization and with your advisers. You may not alter it to misrepresent its content, remove ACS branding, or present it as an independent audit or certification.

If you send us feedback or suggestions, we may use them without obligation to you.

9. Third-party services and links

The Diagnostic relies on third-party providers (listed in the Privacy Policy) and may link to other websites, such as acsllc-nc.com. We do not control those services or sites and are not responsible for them.

10. Disclaimer of warranties

THE DIAGNOSTIC, INCLUDING ALL SCORES, FINDINGS AND REPORTS, IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ACS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE DIAGNOSTIC WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT RESULTS WILL MEET YOUR NEEDS OR PRODUCE ANY PARTICULAR OUTCOME.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ACS AND ITS OWNERS, MANAGERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE DIAGNOSTIC, EVEN IF ADVISED OF THE POSSIBILITY. BECAUSE THE DIAGNOSTIC IS PROVIDED FREE OF CHARGE, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO IT WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited. Paid services are governed by their own written agreement.

12. Indemnification

You agree to defend and indemnify ACS against claims, losses and reasonable expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your unlawful use of the Diagnostic, or information you submit that you had no right to provide.

13. Suspension and termination

You may stop using the Diagnostic at any time and may ask us to delete your account as described in the Privacy Policy. We may suspend or end your access, with or without notice, if we believe you have violated these Terms, put the service or others at risk, or if we discontinue the Diagnostic. Sections that by their nature should continue (including 3, 6, 8, 10, 11, 12 and 14) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at info@acsllc-nc.com and give us 30 days to try to resolve the matter informally. Any claim not resolved informally will be brought in the state courts in Guilford County, North Carolina, or the federal courts serving that county, and you consent to their jurisdiction and venue.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and change the “Last updated” date. Your continued use of the Diagnostic after an update means you accept the revised Terms. If you do not agree, stop using the Diagnostic.

16. General

These Terms and the Privacy Policy are the entire agreement between you and ACS about the Diagnostic. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets.
